Explanation of Responses:

1. The equity award vests on the first anniversary of the date of grant (05/25/24).

2. The Reporting Person previously gifted shares to a family trust of which the Reporting Person and his wife are trustees. The Reporting Person disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such shares for purposes of Section 16 under the Securities Exchange Act of 1934, as amended, or for any other purpose.
