Explanation of Responses:

1. These shares were acquired under the Company's 2020 Equity Incentive Plan without payment by the reporting person and are a final award related to a 2021 performance-based restricted stock unit ("PRSU") opportunity.

2. Represents shares of common stock sold to satisfy tax obligations relating to the acquisition of shares of common stock in connection with the settlement of the PRSU. The shares were sold on March 27, 2023 and March 28, 2023 at an average price of $5.93.
