Explanation of Responses:

1. Each Restricted stock unit ("RSU") represents a conditional right to receive one share of common stock of the issuer.

2. Represents a grant of time-based RSUs pursuant to the Issuer's 2021 Amended and Restated Stock Incentive Plan. The RSUs shall vest in three equal installments, commencing on the first anniversary date of the grant, conditioned upon the Reporting Person's continued service to the Issuer.

3. Represents vesting of RSUs and the concurrent issuance of the issuer's shares which have no expiration.
