1. The stock option will vest and become exercisable as to 25% of the total number of shares on February 26, 2025, and an additional 25% of the total number of shares will vest and become exercisable on the same day of each of the subsequent three years thereafter, subject to the continuing employment of the Reporting Person on each vesting date.
