Explanation of Responses:

1. Each RSU represents a contingent right to receive one share of Sphere 3D Corp. common stock.

2. The RSU granted dated 4/22/2025 vests 25% on June 1, 2025 and then quarterly beginning September 1, 2025 until June 1, 2027.

3. In addition to the 4/22/2025 RSU, the RSUs reported under Column 9 also include three additional awards. The underlying outstanding shares and vesting schedules are as follows: (i) 11,607 shares outstanding which vest 6/20/25; (ii) 58,593 shares outstanding of which 11,719 vest quarterly beginning 3/31/25 until 12/31/25 and 11,717 vest on 3/31/26; and (iii) 625,000 shares outstanding of which 78,125 vest quarterly beginning March 31, 2025 and ending December 31, 2026.
