Explanation of Responses:

1. Each restricted stock unit ("RSU") was granted on September 1, 2026, under the Certara, Inc. ("Certara") 2020 Incentive Plan and represents a contingent right to receive one share of Certara common stock (or the cash equivalent thereof). The RSUs vest in two equal installments, with 50% of the award vesting on July 15, 2027, and the remaining 50% vesting on July 15, 2028, subject to the reporting person's continued service through each applicable vesting date.
