Explanation of Responses:

1. On March 11, 2022, the reporting person was granted 5,000 shares of common stock and an option to purchase 40,000 shares for $1.60 per share, 5,000 of which vested and became exercisable immediately. Both the common stock and stock option were subject to a separate restriction on transfer which lapsed on September 11, 2022. The remaining 35,000 shares of common stock under the stock option vest subject to the issuer's attainment of certain performance-based conditions. On April 14, 2023, the Compensation Committee of the issuer determined that the performance-based conditions had been met for the vesting of the option as to 5,000 shares.
