Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of AgileThought, Inc. Class A Common Stock. Thirty-five percent of the RSUs vest upon AgileThought, Inc.'s Class A Common Stock achieving a market price of $15 per share, 25% vest upon achieving a market price of $20 per share, 20% vest upon achieving a market price of $25 per share, and 20% vest upon achieving a market price of $30 per share.

2. Vesting of the RSUs is subject to continued employment. Thirty-five percent of the RSUs expire on 01/27/2028, 25% expire on 01/27/2030, and 40% expire on 01/27/2032.
