Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock upon settlement for no consideration.

2. On May 16, 2023 the Reporting Person was granted 15,000 restricted stock units, vesting in three equal annual installments on May 16, 2024, December 26, 2024, 2024 and December 26, 2025, subject to the Reporting Person's provision of services to the Issuer on such vesting dates. Shares of the Issuer's Common Stock will be delivered to the Reporting Person following vesting.
