Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of KERN common stock. The restricted stock units were granted on April 26, 2021, and vest as follows: 1/4 immediately on date of grant, April 26, 2021; 1/4 on June 30, 2021; 1/4 on September 30, 2021; and 1/4 on December 31, 2021. Settlement of vested RSUs will occur as soon as administratively feasible following the applicable vesting date.
