Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one (1) share of the Issuer's Common Stock.

2. Subject to the reporting person's continuous service with the Company, the shares subject to the award will vest over a three-year period, with one-third (1/3rd) of the shares subject to the award vesting on the first anniversary of the award date (August 2, 2023), and one twelfth (1/12th) of the shares subject to the award vesting in equal quarterly installments thereafter, such that the award is fully vested on the third anniversary of the date of award.
