1. Contingent right to receive issuance of Culp, Inc. common stock.

2. These restricted stock units vest and convert into the right to receive one share of common stock per restricted stock unit (9,839 total shares of common stock) on the date that is the earlier of (i) the one year anniversary of the date of the grant, and (ii) the next annual meeting of shareholders which is at least 50 weeks after the immediately preceding year's annual meeting of shareholders.
