Explanation of Responses:

1. On November 16, 2023, the Company granted Mr. Kirscher 80,000 stock options pursuant to the Company's 2023 Equity Incentive Plan, whereby 1/3 of the options granted shall vest on December 31, 2023, an additional 1/3 of the options granted shall vest each year thereafter, and all options shall fully vest on December 31, 2025.
