Explanation of Responses:

1. The option shall become exercisable with respect to twenty five percent (25%) of the shares underlying the option upon the date of grant, with respect to thirty seven and a half percent (37.5)% upon the filing by the Company of an Investigational New Drug Application ("IND") with the U.S. Food and Drug Administration ("FDA") for a New Chemical Entity ("NCE") candidate to treat Rett Syndrome and with respect to the remaining thirty seven and a half percent (37.5)% upon the filing by the Company of an IND with the FDA for an NCE candidate to treat CDKL5 Deficiency Disorders; provided that the participant remains a service provider to the Company through each applicable vesting date.
