1. Each American Depositary Share ("ADS") is immediately convertible into three ordinary shares for no consideration and has no expiration date.

2. The securities were sold by Cream Capital Limited ("CCL"), Blake Holdings Limited ("BHL"), Ora Ventures Limited ("OVL"), Ora Capital Limited ("OCL), Sarossa Plc ("SAR"), Pinkeys Limited ("PKL") and Mr. Griffiths personally. Mr Griffiths is a director and the controlling shareholder of CCL, BHL, OVL and OCL and the controlling shareholder of SAR and PKL. Mr. Griffiths disclaims beneficial ownership of these securities except to the extent of his proportionate pecuniary interest therein.
