On July 2, 2025, the issuer filed a Form 8-K reporting that the issuer had closed the offering of 7,400,000 shares of the issuer's Common Stock on July 2, 2025. As a result of the change in the number of shares of Common Stock outstanding, the reporting person has ceased to beneficially own more than 10% of the outstanding Common Stock.
