Explanation of Responses:

1. On October 19, 2022, the reporting person filed a Form 4 (the "Original Form 4") which inadvertently reported the grant of 3,505 shares of the Issuer's common stock on October 12, 2022 (the "Transaction"). This amendment to the Original Form 4 is being filed to remove the Transaction and reports the correct holdings of the reporting person as of the filing date hereof.
