Explanation of Responses:

1. Consists of 14,000 restricted stock units ("RSUs"). The RSUs are subject to time-based vesting with one-third of the RSUs vesting on February 1, 2024, followed by 8.3325% of the remaining RSUs vesting on a quarterly basis thereafter, subject to the reporting person's continuous service with the Company as of such vesting dates.
