Explanation of Responses:

1. The number of options granted has been reduced from 85,000 to 78,000 to correct an administrative error.

2. The option award was made in accordance with the terms of the Issuer's 2016 Equity Incentive Plan (the "2016 Plan"). One-hundred percent (100%) of the shares subject to the option vest on the first anniversary of the date of grant. The exercise price is based on the closing price for the shares of the Common Stock on the date of grant in accordance with the terms of the 2016 Plan.
