1. Shares were withheld by the Issuer upon the vesting of the reporting person's April 29, 2020 restricted stock units award to cover the resulting tax liability. On April 29, 2020, the reporting person was granted 86,506 restricted stock units with a vesting schedule of 100% on April 29, 2023.
