Explanation of Responses:

1. The award vests as to 1/12 of the stock options on each monthly anniversary of the grant date, for the first 11 months, and as to any remaining unvested stock options on the date of the Company's 2023 annual shareholders meeting, subject to the Reporting Person's continued service with the Issuer through such anniversaries and the other terms and conditions of the grant agreement

2. Form 4 filed on November 7, 2022 inadvertently omitted the Power of Attorney. This amendment is being filed to correct that omission
