1. Restricted stock units convert into common stock on a one-for-one basis.

2. Represents shares withheld to pay statutory withholding taxes in connection with vesting of performance stock units and restricted stock units held by the reporting person.

3. Restricted stock units vested on June 22, 2023. The remainder of the restricted stock units vest 25% of the original grant amount on an annual basis.
