1. The option vests in three equal annual installments commencing on January 25, 2024.

Remarks:

This amendment on Form 4/A is being filed to amend the Form 4 filed on January 27, 2023, solely to correct inadvertent errors in the exercise price and expiration date of the Stock Option previously reported in Column 2 and Column 6 of Table II, respectively.
