Explanation of Responses:

1. Each phantom share unit is the economic equivalent of one share of the Issuer's common stock

2. These phantom share units vest in four equal installments. The remaining two installments will vest and be settled in cash on August 15, 2023 and February 15, 2024.

3. These phantom share units vest in three equal installments and will be settled in cash on February 16, 2024, February 16, 2025, and February 16, 2026.
