Explanation of Responses:

1. This reported transaction involved the reporting person's grant of 470,000 restricted stock units ("RSU"), 17.5% of which shall vest upon each of the first four anniversaries of the grant date, and 30% of which shall vest upon the fifth anniversary of the grant date, subject to the Reporting Person's continued employment through the applicable vesting date. Each RSU represents a contingent right to receive one share of the Company's common stock.
