Explanation of Responses:

1. The option award was made in accordance with the terms of the Issuer's 2023 Stock Incentive Plan (the "2023 Plan"). The shares of the Issuer's common stock, par value $0.0001 per share ("Common Stock"), underlying the option award will vest at the rate of 33% upon the one-year anniversary of the date of grant and the remaining shares will vest in equal quarterly installments thereafter for the next two years; provided, that the Reporting Person remains a director or otherwise in continuous service to the Issuer through such vesting date.

2. The option award was made in accordance with the terms of the 2023 Plan. The option award fully vested upon issuance and became exercisable on March 1, 2024.

Remarks:

On January 2, 2024, the Issuer effected a reverse stock split of its Common Stock at a ratio of 1-for-20 (the "Reverse Stock Split"). As a result of the Reverse Stock Split, the shares of Common Stock, and the exercise price and shares of Common Stock underlying outstanding equity awards, have been adjusted accordingly versus any amounts previously reported by the Reporting Person.
