Explanation of Responses:

1. Represents shares that have been withheld by the Issuer to satisfy tax withholding and remittance obligations in connection with the net settlement of restricted stock units (RSUs).

2. Certain of these securities are RSUs. Each RSU represents a contingent right to receive one share of Common Stock, subject to the applicable vesting schedule and conditions of each RSU.

3. These securities are RSUs. Each RSU represents a contingent right to receive one share of Common Stock. One quarter of the RSUs shall vest on April 4, 2024 and on each anniversary thereafter, subject to the Reporting Person continuing as a service provider through each such date.
