Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

2. The restricted stock units were granted on April 26, 2021, and vest as follows: 1/4 on December 1, 2021; 1/4 on December 1, 2022; 1/4 on December 1, 2023; and 1/4 on December 1, 2024. Settlement of vested RSUs will occur as soon as administratively feasible following the applicable vesting date.
