1. In connection with the partial exercise of the underwriters' over-allotment option, a portion of the reporting person's founders shares was forfeited back to the issuer.

2. Mr. McDonald is a managing member of LifeSci Holdings LLC. He disclaims any pecuniary interest in the securities except to the extent of his ownership interest in LifeSci Holdings LLC.
