Explanation of Responses:

1. The options are being issued in connection with serving on the board of directors of SBEV, pursuant to the 2020 Long-Term Incentive Compensation Plan. 10,417 options will vest on the 5th day of each month starting May 2023 until December 2023 and 10,416 options will vest on the 5th day of each month starting January 2024 until April 2024.
