Explanation of Responses:

1. The reporting person is a trustee of the Christopher and Jamie McGurk Living Trust.

2. One-third of the options vested on March 31 of each of 2015, 2016 and 2017.

3. One-third of the stock appreciation rights vested on March 31 of each of 2019, 2020 and 2021.

4. 1,250,00 of the stock appreciation rights vested on November 19, 2020 and 1,250,000 of the stock appreciation rights vest on March 31, 2023.

5. 833,333, 833,333 and 833,334 of the stock appreciation rights vest on April 1, 2023, April 1, 2024 and April 1, 2025, respectively.
