Explanation of Responses:

1. On June 1, 2023, the Company, under its 2016 Incentive Plan, issued to Mr. Meisner options (the "Options") to purchase 120,000 shares of Common Stock, subject to the terms and conditions of Mr. Meisner's Options Agreement, which include certain provisions set for in the Remarks section below.

2. The beneficial ownership set forth above does not include (i) 232,902 shares directly held by Mr. Meisner.

Remarks:

(i) an exercise price equal to $7.00 per share of Common Stock; (ii) expiration of the Options on the tenth (10) anniversary of the grant date; and (iii) subject to Mr. Meisner's continued service as Chief Revenue Officer of the Company, the Options shall vest in time-based increments and upon the Company reaching certain revenue targets as set forth in Mr. Meisner's option agreement.
