1. Subject to adjustment, from time to time, for the issuance of common stock, options or convertible securities and for any stock split, stock dividend, recapitalization or other events as provided in the Junior Secured Convertible Notes.

2. The Junior Secured Convertible Notes will become convertible upon the effectiveness of an amendment to the Company's certificate of incorporation that provides for sufficient authorized shares for conversion.
