1. Each restricted stock unit (RSU) represents a contingent right to receive one share of common stock.

2. The RSU shares vest 2 years from the grant date, 50 percent in year 1 and 50 percent in year 2, or if a change of control of the issuer occurs prior to March 4, 2024 and the reporting person remains in continuous service to the issuer through the change of control date.
