Explanation of Responses:

1. These Restricted Stock Units will vest on May 19, 2024 and convert to shares of Common Stock.

2. On May 9, 2023, the Issuer commenced a subscription rights offering (Rights Offering) pursuant to which the holders of Common Stock as of the close of business on May 1, 2023 or their transferees had the right to purchase up to an aggregate of 2,222,222 shares of Common Stock from the Issuer at a purchase price of $45.00 per share. In connection with the Rights Offering, the Reporting Person acquired 525 shares of Common Stock.
