Explanation of Responses:

1. One-third of the restricted stock unit award will vest in full on September 25, 2024, one-third of the restricted stock unit award will vest in full on September 25, 2025 and one-third of the restricted stock unit award will vest in full on September 25, 2026, subject to the Reporting Person's continued employment with the Issuer. Each restricted stock unit represents the contingent right to receive one share of the Issuer's Class A common stock upon vesting of the unit.
