Explanation of Responses:

1. The reporting person is a participant in the Issuer's Amended and Restated 2013 Stock Option and Incentive Plan, as amended (the "2013 Plan") and received 22,000 non-qualified stock options on January 4, 2022 (the "Grant Date"). The non-qualified stock options shall vest and become exercisable in 48 equal monthly installments from the Grant Date.
