Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the issuer's Class A Common Stock.

2. The RSUs will vest on June 15, 2023, subject to certain vesting and forfeiture provisions. The number of RSUs granted to the reporting person was determined by dividing the annual equity retainer amount of $75,000 by a floor price of $4.50 per share.
