Explanation of Responses:

1. The stock options will vest in seven equal installments beginning on November 19, 2022, subject to the terms of the Midwest Holding Inc. 2020 Long-Term Incentive Plan and related stock option agreement and the Reporting Person's continuous employment with the Company through the applicable vesting dates.

2. The options vest in seven equal installments 60 days after the first seven anniversaries of the vesting start date (09/08/2021), subject to accelerated vesting under certain circumstances.
