Explanation of Responses:

1. One third of the RSUs shall vest on the earlier of February 16, 2023 or the 2023 annual shareholders' meeting, and in each of the next two calendar years following the year of the initial vesting date, an additional one third shall vest on the earlier of the 12-month anniversary of the prior annual shareholders' meeting or the then current year annual shareholder' meeting, subject to acceleration upon a change in control.
