Pursuant to the Company's Non Employee Director's Compensation policy, the options are automatically granted on the date of the Company's Annual Meeting of Stockholders and will vest ratably over the following twelve months such that the option will be fully vested one year after the date of grant or on the date of the Company's next annual stockholder meeting, whichever occurs first, subject to the Reporting Person's continuous service.
