Explanation of Responses:

1. On December 6, 2021, the reporting person was granted 62,500 shares of restricted common stock subject to vesting conditions. One-eighth of the 62,500 shares of restricted stock vests at the end of every full quarter following their grant effective as of December 6, 2021 that the reporting person is employed by the issuer.

2. On December 6, 2021, the reporting person was granted an option to purchase 125,000 shares for $4.72 per share. The option vests and becomes exercisable as to one-eighth of 62,500 of the shares of common stock under the option at the end of each full quarter following December 6, 2021, subject to a separate restriction on transfer which lapsed on June 30, 2022. The stock option vests and becomes exercisable as to 40,000 shares subject to the issuer's attainment of certain respective performance-based conditions. The stock option vests and becomes exercisable as to 22,500 shares subject to the reporting person's satisfaction of certain respective service-based conditions. On April 14, 2023, the Compensation Committee of the issuer determined that the performance-based conditions under the option had been met for the vesting of the option as to 10,000 shares, and that the service-based conditions under the option had been met for the vesting of the option as to 2,500 shares.
