Explanation of Responses:

1. 12.5% of the option shall vest upon the completion of each successive six months of employment until the option becomes fully vested on the fourth anniversary of the vesting commencement date.

2. Converts into common stock on a unit-for-share basis on the share distribution date.

3. 12.5% of the shares shall vest upon the completion of each successive six months of employment until the shares become fully vested on the fourth anniversary of the vesting commencement date.
