1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the issuer's common stock upon vesting.

2. On May 20, 2024, the reporting person was granted a total of 66,667 RSUs, which vest on the first-year anniversary of the grant date, unless the reporting person leaves in good standing before such vesting date, in which case the RSUs will vest pro-rata based on months served.
