Explanation of Responses:

1. The securities awarded are in the form of restricted stock units issued pursuant to the issuer's 2020 Equity Incentive Plan. Each restricted stock unit represents a contingent right to receive one share of issuer common stock. The restricted stock units shall vest in four equal quarterly installments over the one-year period following the grant date, subject to the reporting person's continued service. Pursuant to the issuer's Second Amended and Restated Non-Employee Director Compensation Policy, the reporting person elected to defer the receipt of the shares underlying any vested restricted stock units to January 2, 2025.
