Explanation of Responses:

1. The performance stock option to purchase up to 580,552 shares of ESAB common stock vests in three tranches based on ESAB's satisfaction of certain performance criteria during the four-year period commencing on the second anniversary of the grant date and ending on the sixth anniversary of the grant date, subject to the reporting person's continued service through the later of each of the fourth, fifth and sixth anniversaries of the grant date and the date on which ESAB's achievement of the applicable performance criteria has been certified.
