Explanation of Responses:

1. The shares subject to the performance-based restricted stock units ("PSUs") represent the maximum number of shares that may vest based on the Issuer's achievement of specified stock price milestones. The PSUs will vest upon certification by the Compensation and Human Capital Committee as to 25% of the shares upon the achievement of each of four stock price milestones, subject to the reporting person's continued employment or service through the applicable vesting date; provided; however, that no portion of the PSUs may vest earlier than April 30, 2026.
