Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Ubiquiti Inc. common stock.

2. The RSUs will vest as follows: 160 RSUs will vest on July 1, 2022; 160 RSUs will vest on July 1, 2023; 160 RSUs will vest on July 1, 2024; and the remaining 159 RSUs will vest on July 1, 2025. Vested units will be delivered to the reporting person on each vesting date.
