Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Ubiquiti Inc. common stock.

2. The RSUs will vest as follows: 407 RSUs will vest on July 1, 2023; 407 RSUs will vest on July 1, 2024; 407 RSUs will vest on July 1, 2025; and the remaining 407 RSUs will vest on July 1, 2026. Vested units will be delivered to the reporting person on each vesting date.
