Explanation of Responses:

1. Shares acquired as a result of vesting of restricted stock units ("RSU") reported on Table II.

2. Represents shares withheld to satisfy tax obligations arising out of vesting of RSUs and does not represent a sale by the reporting person.

3. Each RSU represents a contingent right to receive one share of Ubiquiti Inc. common stock.

4. 381 RSUs vested on July 1, 2023. Vested units will be delivered to the reporting person on each vesting date.

5. The RSUs will vest as follows: 292 RSUs will vest on July 1, 2024. Vested units will be delivered to the reporting person on each vesting date.

6. The RSUs will vest as follows: 160 RSUs will vest on July 1, 2024; and the remaining 159 RSUs will vest on July 1, 2025. Vested units will be delivered to the reporting person on each vesting date.

7. The RSUs will vest as follows: 407 RSUs will vest on July 1, 2024; 407 RSUs will vest on July 1, 2025; and the remaining 407 RSUs will vest on July 1, 2026. Vested units will be delivered to the reporting person on each vesting date.
